Overview

This rare large firm leadership opportunity for a deal lawyer passionate about healthcare!

 

Quintairos, Prieto, Wood & Boyer, P.A. (QPWB), is a multi-division, national, problem-solving firm built on the importance of being Different in the practice of law. We are seeking an experienced Healthcare Transactions Lawyer to help lead a new division, to work closely with QPWB’s innovative Subscription Plan General Counsel division, GenCo Legal®, and its significant client and network relationships.

 

The ideal candidate will have an entrepreneurial spirit and passion for all facets of deals related to healthcare including the emerging technology sector and alternative payment structuring initiatives. They will also have experience in corporate entity setup and handling of equity and incentive plans. Additionally, a portable book of business is preferred, though we are open to considering Senior Associate and Junior Partner level healthcare deal lawyers from traditional big law firms seeking a refreshing and innovative culture and environment.

Responsibilities

  • M&A Strategy Development: Develop and implement strategic initiatives related to mergers, acquisitions, and other transactions within the healthcare and technology sectors.
  • Due Diligence: Conduct comprehensive legal due diligence on potential targets, ensuring a thorough understanding of legal, regulatory, and compliance aspects.
  • Negotiation and Drafting: Lead negotiations, draft and review transactional documents, and provide legal counsel on a broad range of healthcare and technology-related agreements.
  • Regulatory Compliance: Stay abreast of evolving regulations in healthcare and technology, ensuring compliance with applicable laws and industry standards.
  • Risk Management: Assess and mitigate legal risks associated with transactions, providing strategic advice to the executive team.
  • Collaboration: Collaborate with cross-functional teams, including finance, operations, and executive leadership, to facilitate successful transactions and achieve business objectives.
  • Integration Planning: Contribute to post-merger integration planning and execution, ensuring a seamless transition and realization of synergies.

Qualifications

Qualifications:

  • Juris Doctor (J.D.) degree and active bar membership.
  • 5-10 years of legal experience with a focus on healthcare transactions.
  • Proven track record of successfully leading and closing complex M&A transactions.
  • In-depth knowledge of healthcare related laws and regulations.
  • Excellent negotiation, drafting, and communication skills.
  • Strong analytical and problem-solving abilities.
